(WO) — Exxon Mobil Corp.’s board of directors has unanimously


(WO) — Exxon Mobil Corp.’s board of directors has unanimously recommended that shareholders approve relocating the company’s legal domicile from New Jersey to Texas, aligning its corporate structure with operations that have been based in Texas for decades.

The proposed move would not affect ExxonMobil’s business operations, strategy, assets, or workforce locations, the company said. ExxonMobil relocated its headquarters to Texas in 1989, and the state now serves as the center of the company’s executive leadership, major research facilities and U.S. workforce.

Chairman and CEO Darren Woods said the board determined that Texas’ legal and regulatory framework—including updated business statutes and the state’s recently established Texas Business Court—provides an environment that supports efficient resolution of complex corporate matters and long-term shareholder value.

The proposal is outlined in a preliminary proxy statement filed with the U.S. Securities and Exchange Commission. ExxonMobil shareholders will vote on the redomiciliation at the company’s 2026 annual meeting.
