Kongsberg Maritime to become stand-alone company following shareholder approval

Kongsberg Gruppen shareholders have formally approved the separation of Kongsberg Maritime, clearing the way for the maritime technology business to become a stand-alone company and pursue a planned listing on the Oslo Stock Exchange on April 23.

The decision, approved at an extraordinary general meeting on Jan. 23, will split Kongsberg Gruppen into two distinct companies. Kongsberg Defence & Aerospace and Kongsberg Discovery will remain within the newly structured KONGSBERG, while Kongsberg Maritime will operate independently.

“This was one of many milestones we will go through, and it was good to have this step confirmed,” said Lisa Edvardsen Haugan, incoming CEO of the new Kongsberg Maritime. “We are ready to take the next step and stand on our own feet.”

Since the separation was announced in October 2025, Kongsberg Maritime has been preparing for independence through organizational and governance changes. The company has established a new management team, adjusted its divisional structure, and strengthened key internal functions ahead of the planned listing.

Edvardsen Haugan said the company sees opportunities across both civil and defense-related maritime applications as global demand increases for advanced vessel systems, offshore technologies and digital solutions. The company’s headquarters will remain in Norway, while its operations will continue to be globally focused.

“Kongsberg Maritime and the broader Norwegian maritime cluster have great strategic importance for the country,” she said, noting that more than 80% of the company’s revenue is generated outside Norway.

On the ownership side, the Norwegian government has stated its intention to retain a majority stake of 50.004% in both the new KONGSBERG and Kongsberg Maritime following the separation.

“I am very pleased that the Norwegian government recognizes the importance of retaining its ownership,” Edvardsen Haugan said.

A new board of directors has also been appointed for Kongsberg Maritime, chaired by Per Arthur Sørlie, with board members Margareth Øvrum, Ivar Hansson Myklebust, Kristin Holth and Anders Bade. Sørlie currently serves as deputy chair of Kongsberg Gruppen and brings prior board-level insight into the maritime business.

Kongsberg Maritime supplies technology and systems to a wide range of maritime segments, including offshore vessels, naval platforms, cruise ships and fishing fleets. The company employs more than 8,000 people across 35 countries and maintains a strong presence in offshore energy and marine infrastructure markets.
